Acceptance of Terms

Welcome to Caspian Solutions LLC ("Caspian Solutions," "we," "us," or "our"). User Responsibilities and Acceptable Use

When using Caspian Solutions' Services, you agree to use the Services only for lawful, authorized purposes and in compliance with these Terms. You are responsible for all your activities on our platform and for any content or data that you input or submit. By using our Services, you agree that you will NOT:

• Violate Laws or Rights: Use the Services for any unlawful purpose, or transmit any content that is illegal, defamatory, infringing, obscene, harassing, or that violates the rights of others.
• Misuse the Platform: Use the Services to send unsolicited or unauthorized advertising or spam. If you use our platform's communication tools, you must ensure you have proper consent to do so, in compliance with telemarketing, anti-spam, and privacy laws.
• Interfere with Security: Introduce any malicious code, viruses, or any software that could damage or disrupt the Services. You agree not to attempt to gain unauthorized access to any portion of our platform.
• Reverse Engineer or Abuse the Service: Copy, modify, distribute, lease, sell, or reverse engineer any part of our Services or software, except to the extent allowed by law.
• Resell or Unauthorized Use: Resell our Services or allow any third party to use the Services via your account without our prior written consent.

We reserve the right to monitor usage and content on our platform to ensure compliance with these Terms. If we determine that you have engaged in any prohibited conduct, we may take appropriate action, including suspension or termination of your account and/or legal action.

Fees, Payments, and Cancellation

Fees and Billing: Some of our Services may require payment of fees. By signing up for a paid Service, you agree to pay all applicable fees as described on our website or in your subscription plan. All fees are stated in U.S. dollars unless otherwise specified, and are exclusive of taxes which may be added as required by law.

Payment Method: You must provide a valid payment method and authorize us to charge your payment method for recurring subscription fees and any applicable taxes on a periodic basis.

Subscription Term and Auto-Renewal: If you purchase a subscription, it will automatically renew at the end of each billing cycle unless you cancel your subscription prior to the renewal date.

Cancellation: You may cancel your subscription at any time by contacting us. If you cancel, your cancellation will take effect at the end of your current paid term. No prorated refunds will be provided for the remaining period of a subscription that was prepaid, except at our discretion or where required by law.

Refunds: Fees are generally non-refundable. However, if you believe there has been a billing error, please contact us at our support email to request a review.

Lead Marketplace and Use of Leads

Caspian Solutions may offer a Lead Marketplace or lead generation service. This section applies if you obtain or use leads through our Services:

Provision of Leads: We may supply you with leads, either as part of a subscription plan or for an additional fee per lead.

Permitted Use of Lead Data: You agree to use any lead information provided by us only for your legitimate business purposes of contacting that lead to offer your products or services and for no other purpose. You must handle lead personal information in compliance with all applicable privacy and communication laws.

No Resale or Unauthorized Sharing: You are strictly prohibited from reselling, redistributing, or transferring the leads or the personal information contained in those leads to any third party outside your organization.

Data Protection and Privacy: You acknowledge that the lead information may contain personal data. You agree to implement appropriate privacy and security measures to protect that data.

Quality and Validity of Leads: While we strive to provide high-quality leads, we do not guarantee that any lead will result in a sale or conversion. Leads are provided "as is."

Compliance with Law: If you are purchasing or using leads, you must comply with all laws applicable to contacting individuals, including telemarketing laws, Do-Not-Call registry rules, the TCPA, and CAN-SPAM Act.

Intellectual Property Rights

All content and materials provided through our Services are the intellectual property of Caspian Solutions LLC or its licensors. These materials are protected by copyright, trademark, trade secret, and other applicable intellectual property laws.

License to You: Subject to your compliance with these Terms, Caspian Solutions grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Services for your internal business purposes.

User Content: You retain ownership of all rights to the content or data that you provide to us. By using our Services, you grant Caspian Solutions the right to use, process, host, and transmit your content and data as necessary to provide the Services to you.

Feedback: If you provide feedback, suggestions, or ideas about our Services, you agree that we are free to use and incorporate such Feedback in our products and services, without any obligation to you.

User Data and Privacy

Communications and Consent to Contact

SMS/Text Messages: If you provide us with a phone number, you agree that Caspian Solutions may contact you by text message. Message and data rates may apply. You can opt out by replying "STOP" to any text message we send.

Email Communications: You can opt out of marketing emails by clicking the "unsubscribe" link or by contacting us. Please note that you may still receive transactional or service-related emails even after opting out of marketing messages.

Termination of Service

By You: You may stop using our Services at any time. You may also delete your account or cancel paid Services as described in the Fees section.

By Us: We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. This may occur if you breach these Terms, pose a security risk, or for non-payment of fees.

Effect of Termination: Upon termination, your right to use the Services will immediately cease. You will no longer be able to access your account, and any data may be deleted or not retrievable.

Disclaimer of Warranties

Caspian Solutions provides its Services "AS IS" and "AS AVAILABLE," without any warranties of any kind. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that the Services will be uninterrupted, error-free, or completely secure. We do not warrant that results obtained from use of the Services will meet your expectations or that any information provided through the Services is accurate or reliable.

Limitation of Liability

To the maximum extent permitted by law, in no event will Caspian Solutions LLC or its directors, officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services.

Caspian Solutions' total cumulative liability for any claims arising out of or related to these Terms or the Services shall be limited to the greater of: (a) the total amount of fees you have paid to us in the three (3) months immediately prior to the event giving rise to the liability, or (b) USD $100.

Indemnification

You agree to indemnify, defend, and hold harmless Caspian Solutions LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your violation of these Terms or of any law or regulation;
• Your use of the Services;
• Your content or data that you submit to the Services;
• Your violation of any third-party rights.

Governing Law and Jurisdiction

These Terms and any dispute arising out of or related to the Services shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law provisions.

Jurisdiction and Venue: You agree that any disputes or claims shall be exclusively brought in the state or federal courts located in the State of Florida. You consent to the personal jurisdiction of such courts.

Changes to Terms

Caspian Solutions may update or modify these Terms from time to time. If we make material changes, we will provide notice to you by posting the revised Terms on our website and updating the "Last Updated" date, and/or by sending an email to your account.

Your continued use of the Services after any changes have been posted will constitute your acceptance of those changes. If you do not agree with a change, you should stop using the Services.

Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Caspian Solutions regarding the Services and supersede all prior communications, understandings, or agreements.

Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms shall not operate as a waiver of that right or provision.

Assignment: You may not assign these Terms without our prior written consent. Caspian Solutions may freely assign these Terms.
